Nakamoto Inc. (NASDAQ: NAKA) has successfully completed its acquisitions of BTC Inc. and UTXO Management GP, LLC. The transaction was executed entirely through the issuance of Nakamoto common stock, with securityholders receiving shares valued at $81,632,852 based on the February 19, 2026 closing price. BTC Inc. is known for publishing Bitcoin Magazine and organizing The Bitcoin Conference, while UTXO Management advises a Bitcoin-focused hedge fund. The combined entity creates a portfolio spanning media, events, asset management, and advisory services, supporting Nakamoto's strategy for growth, future Bitcoin accumulation, and potential further acquisitions. BTC Inc. reported combined revenues of $80.5 million for the 12 months ending September 30, 2025.
